Terms & Conditions

The ground rules for using this cohort portal.

1. Acceptance

By accessing or using this site (the "Site"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Site.

2. What this site is (and isn't)

The Site is an unofficial, volunteer-run portal for a Boise State University Executive MBA cohort. It is not affiliated with, endorsed by, or operated by Boise State University or its College of Business and Economics. It is a member-run coordination tool operated by Adam Valine ("the Site Admin") with content contributed by cohort admins and members.

3. Acceptable use

You agree to use the Site only for its intended purpose: coordination and communication among members of the associated cohort or alumni network. You will not:

  • Post content that is unlawful, harassing, defamatory, obscene, or infringes another person's rights.
  • Post another person's personal information without their consent.
  • Attempt to gain unauthorized access to admin functions, other users' data, or the Site's infrastructure.
  • Use automated tools to scrape, spam, or degrade the Site.
  • Misrepresent your identity or affiliation with the cohort.

4. Content you submit

You are solely responsible for any content you submit to the Site (member entries, photos, notes, deletion requests, etc.). By submitting content, you represent that you have the right to do so and grant the Site a limited license to store, display, and process that content for the Site's purposes.

5. Cohort admin responsibilities

Cohort admins are volunteers who have been granted edit access to a specific cohort's portion of the Site. Cohort admins agree to:

  • Post only content that members have consented to appear on the Site.
  • Respond to deletion requests within a reasonable timeframe.
  • Not share their admin login credentials or admin session with others.
  • Not misuse hidden contact information (email, phone) stored in member entries.

6. Data deletion procedure

Any member may request removal of their information via the Site:

  1. Locate your member card on the cohort's public members page.
  2. Click the card to open the profile modal.
  3. Click "Request deletion." Enter an optional reason.
  4. Submit. Your card is immediately hidden from public view pending admin review.

A cohort admin will review the request and take one of three actions:

  • Dismiss — request is denied, card returns to public view. Typically used only when the request is obviously erroneous or made in bad faith.
  • Suppress — data is retained in the database but permanently hidden from public view. Choose this if you want the record kept for internal reference (e.g., verifying prior cohort membership) but not shown publicly.
  • Delete — data is permanently removed from the database.

If you do not want to use the on-site flow, email adam.valine@gmail.com directly with your deletion request. The Site Admin will process it within 30 days of receipt.

7. Third-party services

The Site embeds content from third-party services (Google Calendar, Google Sheets, LinkedIn URLs, Cloudflare Access authentication). Your interaction with those embeds is subject to those providers' respective terms and privacy policies. The Site is not responsible for third-party service availability or behavior.

8. Availability & changes

The Site is provided on a best-effort basis. There is no service level commitment. The Site may be modified, suspended, or discontinued at any time without notice. Content, features, and admin lists may change at the Site Admin's discretion.

9. Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY. YOUR USE OF THE SITE IS AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SITE ADMIN, COHORT ADMINS, OR ANYONE OTHERWISE ASSOCIATED WITH THE SITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SITE.

THE TOTAL AGGREGATE LIABILITY OF THE SITE ADMIN AND COHORT ADMINS TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100 USD), REGARDLESS OF THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, WARRANTY, STATUTE, OR OTHERWISE.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Site Admin, cohort admins, and their respective heirs, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Site; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; (d) any content you submit to the Site; or (e) any claim that your content caused damage to a third party.

12. Governing law and venue

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Ada County, Idaho, and you consent to personal jurisdiction and venue in those courts.

13. Termination

The Site Admin may terminate or suspend your access to the Site at any time, with or without notice, for conduct that the Site Admin believes violates these Terms or is otherwise harmful to other users, the Site, or third parties.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Changes to these Terms

We may update these Terms from time to time. Updates take effect when posted. The "Last updated" date at the top of this page reflects the most recent change. Continued use of the Site after a change constitutes acceptance of the updated Terms.
